SWEEPSTAKES OFFICIAL RULES

Sponsored by The Fun Squad (“Sponsor”).

THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH YOUTUBE.

NO PURCHASE OR OBLIGATION NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR WHERE RESTRICTED BY LAW.

The Golden Ticket Sweepstakes (the “Sweepstakes”) is a recurring monthly sweepstakes. Each monthly entry period (an “Entry Period”) begins on the first day of the calendar month at 12:00 AM Eastern Time and ends on the last day of that calendar month at 11:59 PM ET.  Sponsor’s computer is the official clock for all matters related to this Sweepstakes.

1.               Agreement to Official Rules. By entering or participating in the Sweepstakes, you accept and agree to be bound by these “Official Rules.”

2.               The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia (excluding Florida and New York) who are between four (4) and ten (13) years of age at the time of entry (the “Eligible Child”). Because each Eligible Child is a minor, all entries must be submitted by the Eligible Child’s parent or legal guardian (the “Entrant”), who must be at least eighteen (18) years of age (or the age of majority in their jurisdiction of residence, whichever is older). The Entrant enters on behalf of the Eligible Child and agrees to these Official Rules on the Eligible Child’s behalf. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six (6) months, performed services for Sponsor, any organizations responsible for sponsoring, fulfilling, administering, advertising, or promoting the Sweepstakes, and/or their respective parent, subsidiary, affiliated, and successor companies (collectively, the “Sweepstakes Entities”), and immediate family and household members of such individuals, are not eligible to enter the Sweepstakes. “Immediate family members” means parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” means people who share the same residence at least three (3) months per year, whether related or not.

3.               How to Enter. There are two methods of entry, each of which provides an equal chance of winning. All entries received by either method during an Entry Period are combined into a single pool from which winners are randomly selected. No method of entry improves or diminishes an Entrant’s chances of winning.

(a)             Entry via Subscription Box (“Golden Ticket”): Sponsor randomly inserts physical “Golden Tickets” into a limited number of Fun Squad subscription boxes/packages shipped each month. If an Entrant receives a Golden Ticket inside a subscription box, the Entrant must follow the instructions on the Golden Ticket to complete entry, which will require submitting the Entrant’s name, mailing address, phone number, email address, and the Eligible Child’s first name and age. A Golden Ticket is not itself an entry; entry is complete only when the required information is submitted in accordance with these Official Rules. Golden Tickets are non-transferable and have no cash value.

(b)             Free Alternative Method of Entry: NO PURCHASE NECESSARY. To enter without a subscription or purchase, hand-print the following information legibly on a 3” x 5” index card: (i) Entrant’s full legal name; (ii) Entrant’s email address; (iii) Entrant’s age; (iv) Eligible Child’s first name; (v) and the month and year of the Entry Period for which the entry is submitted. Mail the completed index card to: PO Box 941, Riverton, UT 84065. Each mail-in entry must be postmarked during the applicable Entry Period and received within seven (7) days after the last day of that Entry Period to be valid.

(c)             LIMIT: ONE (1) ENTRY PER ELIGIBLE CHILD PER ENTRY PERIOD, REGARDLESS OF ENTRY METHOD. If an Entrant submits more than one entry for the same Eligible Child in a single Entry Period (whether by Golden Ticket, mail-in, or a combination), only the first valid entry received will be accepted; subsequent entries for that Eligible Child will be void. Entries that are fraudulent, forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, incomprehensible, garbled or generated by a macro, bot, script or other automated means will not be accepted and will also be void. Entrants violating any of these Official Rules may be disqualified. All entries become property of Sponsor, and none will be acknowledged or returned. Proof of submission of entry does not constitute proof of receipt of same. Entrants agree that Sponsor’s decisions are binding and final in all matters relating to this Sweepstakes.

4.               Prize Drawing / Selection of Winner/Odds. Approximately four (4) to five (5) potential winners will be selected each Entry Period from all eligible entries received meeting the requirements of these Official Rules in a random drawing to be held on or around three (3) days following the end of the Entry Period. The drawing will be conducted either by independent persons or a computer program that randomly chooses the winners from all eligible entries received, and the random selection is binding and final. For purposes of these Official Rules, when an Eligible Child is selected as a winner, the Eligible Child is the “Winner” for purposes of prize fulfillment (e.g., the Eligible Child participates in filming, travels to the Annual Filming Event, and receives personalized content), but all prizes will be delivered to the Entrant (as parent or legal guardian) for the benefit of the Winner, and all required forms, releases, affidavits, and other documentation must be completed and signed by the Entrant on behalf of the Winner. The odds of winning depend on the total number of eligible entries received during the applicable Entry Period.

5.               Prizes. Each Winner will receive one (1) of the following prizes, as determined by Sponsor in its sole discretion at the time of winner selection:

(a)             Prize Option A – Personalized Video: A custom video (approximately 1–2 minutes in length) featuring Fun Squad talent, personalized for the Eligible Child. To fulfill this prize, the Entrant will be asked to complete an intake form providing details about the Eligible Child (e.g., the child’s name, interests, or a special occasion). The personalized video will be delivered electronically directly to the Entrant and will not be posted publicly or online. Approximate Retail Value (“ARV”): $1,000 (USD).

(b)             Prize Option B – YouTube Video Appearance: An opportunity for the Eligible Child to appear in a Fun Squad YouTube video filmed at a location and date designated by Sponsor. Sponsor conducts YouTube filming events approximately once per year, typically in the month of June (the “Annual Filming Event”). ARV: $9,500 (USD). Because Winners are selected monthly but the Annual Filming Event occurs only once per year, Winners who are awarded Prize Option B will be held in a pool and notified of the Annual Filming Event details as follows:

·       Claim Window: Within thirty (30) days of receiving notification that they have been awarded Prize Option B, the Winner must confirm intent to participate in the Annual Filming Event by completing and returning the confirmation form provided by Sponsor (the “Confirmation Form”). If the Winner fails to return the completed Confirmation Form within such thirty (30)-day period, the Winner forfeits the prize and Sponsor may, in its sole discretion, select an alternate winner.

·        Hold Period and Event Notification: Sponsor will notify all confirmed Prize Option B Winners of the Annual Filming Event date, location, and logistical details no later than thirty (30) days before the Annual Filming Event. If a Winner is unable to attend the Annual Filming Event after receiving such notification, the Winner must notify Sponsor in writing within ten (10) days of receiving the event details. Failure to provide timely notice of non-attendance, or failure to appear at the Annual Filming Event without prior notice, will result in forfeiture of the prize.

·        Alternative Participation: If a Winner is unable to travel to the Annual Filming Event location, Sponsor may, in its sole discretion, offer an alternative form of participation (e.g., a remote video appearance via Zoom or inclusion in an “advice” or “shout-out” segment). Sponsor is not obligated to provide any alternative and may forfeit the prize if the Winner cannot participate in the Annual Filming Event or any offered alternative.

·        Travel and Expenses: All travel, transportation, lodging, meals, and any other expenses associated with the Eligible Child’s participation in the Annual Filming Event are the sole responsibility of the Winner and are not included in the prize.

(c)             Winner Obligations Required Release: For any prize involving the Eligible Child appearing in, being featured in, or being depicted in Sponsor’s content (including Prize Option A and Prize Option B), the Entrant must sign and return a separate Participation and Publicity Release agreement (provided by Sponsor) on behalf of the Eligible Child before the prize will be fulfilled. Failure to execute and return the required release within the time specified in the winner notification (or fourteen (14) days, whichever is earlier) will result in forfeiture of the prize.

Total ARV of all prizes to be awarded per monthly drawing: $22,000 (USD). The ARV for each of the prizes are estimates made before the Sweepstakes begins. Any difference between an ARV and the actual cost of a prize will not be awarded.

The prizes are not redeemable for cash or transferable. Except as set forth in these Official Rules and at Sponsor’s sole discretion, a prize of comparable or equal value may be provided. No further substitutions will be allowed. Prize elements may not be separated and tickets, vouchers and gift cards will not be replaced if lost, mutilated or stolen. Tickets, vouchers and gift cards are subject to terms and conditions thereon. Winners are solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to prizes. You agree to provide Sponsor with any additional information and complete any required tax or other forms relating to your receipt of a prize. Allow up to thirty (30) days for the delivery of Prize A and up to one (1) year for the delivery of Prize B. Without limiting any other terms of these Official Rules, the prize is provided as-is, without any warranty, representation or guarantee (express or implied, in fact or in law, whether now known or hereinafter enacted) relative to the use or enjoyment of the prize including, without limitation, its quality, merchantability or fitness for a particular purpose. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes promotional materials and the terms and conditions of these Official Rules, these Official Rules will prevail and govern.

6.               Notification of Winners. Winners will be notified by email within thirty (30) days of the prize drawing and must sign and return any required affidavit of eligibility, and the Participation and Publicity Release for the Eligible Child referenced in Section 5 above. If a selected Winner cannot be contacted, is ineligible, fails to claim a prize, and/or the required documentation is incomplete, modified, or is not received within the number of days specified in the notification or thirty (30) days after such notification, whichever comes first, the prize may be forfeited and an alternate Winner may be selected from remaining valid, eligible entries timely submitted. In the event of a dispute regarding the identity of any Entrant, the entry will be deemed submitted by the natural person who is the Authorized Account Holder of the email address specified in the entry. For the purposes of these Official Rules “Authorized Account Holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

7.               Limitation of Liability.

(a)             BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW: (I) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED IN PARTICIPATING IN THE SWEEPSTAKES (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (II) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (c) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

(b)             The Sweepstakes Entities are not responsible and/or liable for any of the following, whether caused by a Sweepstakes Entity, the entrant, or by human error: entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program) or entries in excess of any stated limit; any lost, late, incomplete, illegible, unintelligible, garbled, mutilated or misdirected entry, email, mail or Sweepstakes-related correspondence or materials or postage-due mail; any error, omission, interruption, defect or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos or misprints in these Official Rules, any Sweepstakes-related advertisements or other materials; failures of electronic equipment, computer hardware or software; lost or unavailable network connections or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information; or any human or mechanical interference in the administration of the Sweepstakes or the processing of entries. The Sweepstakes Entities are also not responsible for electronic communications that are undeliverable or do not reach entrant as a result of any form of active or passive filtering of any kind or insufficient space in a potential Winner’s email or voicemail inbox, or if entrant’s email address or other contact information does not work or is changed without prior written notice to Sponsor that is acknowledged by Sponsor in writing.

8.               Release and Indemnity. By entering the Sweepstakes, each Entrant agrees to release, indemnify and hold each of the Sweepstakes Entities, as well as each of their respective officers, directors, employees, agents and representatives and each of their respective successors, representatives and assigns, as well as YouTube, harmless from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes or any Sweepstakes-related activity or travel, and/or acceptance, receipt, possession or use/misuse of a prize, including without limitation, any injury, damage, death, illness, loss or accident to/of persons or property.

9.               Additional Conditions. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Sweepstakes in whole or in part, if in Sponsor’s opinion: (i) the Sweepstakes is not capable of running as planned by reason of the occurrence of any event beyond its control including, but not limited to, fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications, equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control; or (ii) any other factors beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, in all instances without liability to the entrants. Sponsor also reserves the right to disqualify any entrant or Winner, as determined by Sponsor, in its sole discretion.

10.            Governing Law, Arbitration, and Choice of Forum. These Official Rules are governed by the law of the State of Utah, without reference to rules governing choice of laws. Except where prohibited by law, by entering this Sweepstakes, Entrant agrees that any dispute, claim, or controversy arising out of or relating to this Sweepstakes, these Official Rules, or any prize awarded hereunder (collectively, “Disputes”) will be resolved exclusively by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures then in effect, and not by a court or jury. BY ENTERING, ENTRANT WAIVES ANY RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. The arbitration will be conducted in the State of Utah, or at another mutually agreed location, by a single arbitrator. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. If for any reason a Dispute proceeds in court rather than arbitration, such action must be brought in either the federal or state courts located in the State of Utah.

11.            Publicity. Except where prohibited, by participating in the Sweepstakes, Entrant consents, on Entrant’s own behalf and on behalf of the Eligible Child, to the use of Entrant’s and Eligible Child’s names, photographs and/or likenesses, biographical information, entries and statements attributed to Winners (if true) for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters, Sponsor’s official social media accounts, the Sweepstakes website at https://funsquadclub.com/pages/sweepstakes-policy and Sponsor’s homepages at https://funsquadclub.com/, without additional compensation. This general publicity consent is in addition to the specific Participation and Publicity Release required for prize fulfillment under Section 5. Nothing in this Section grants Sponsor the right to feature the Eligible Child in Sponsor’s produced video content without the signed Participation and Publicity Release.

12.            Personal Information. Sponsor may collect personal data about Entrants and Eligible Children online, in accordance with its privacy notice and as may be more specifically set forth in these Official Rules. 13.            Winner List. For the names of prize Winners for a given Entry Period, once available, send an email message to Support@TheFunSquad.com with “Winners List” as the email subject and the Entry Period (month/year) specified in the body of the email. Requests must be received within six (6) months of the end of the applicable Entry Period.
